BUSINESS LAW

BUSINESS FORMATION

We help you determine the most appropriate type of entity for your business needs, form the entity, and prepare the documents necessary to properly structure your company, such as shareholder, partnership and operating agreements.

FINANCING: DEBT & EQUITY

From seed capital to bank or private debt and latter round equity financing, we have worked with numerous clients (public and privately held, domestic and overseas) in determining their financial needs and in structuring, drafting and negotiating the loan and investment documents necessary for capital formation and business expansion.

CONTRACTS

We draft and negotiate the documents necessary for your day to day operations, such as employment, licensing, stock option, manufacturing, distribution, contractor and vendor agreements, as well as those needed for more complex transactions, such as joint ventures and capital raises.

MERGERS & ACQUISITIONS

The purchase or sale of a company is a critically important event in the life of any business, and one that requires thought, objectivity and attention to detail.  Having worked on many such transactions we help you strategize and negotiate all relevant agreements, analyze the risks, protect your investment and assets, and enable you to move forward with confidence.

ELDER LAW

As a family lifecycle advisor who often works with both the older and younger generations in a family, Laura focuses on protecting the independence of her older clients while implementing their goals for their family. Plan your future with confidence and avoid financial loss to your family. There are many types of protections that assure your continued direction of life decisions to protect yourself later in life.

LIFE INSURANCE PLANNING

Properly structured life insurance allows you to pass an estate that can be 6 times larger than what it is today, totally tax-free in asset protected funds. When trust owned life insurance is a guaranteed contract, life insurance proceeds can be the most valuable asset in your estate. It can provide security that can last for the lifetimes of your children and grandchildren. Such policies can also pay for your long-term care, thus serving multiple purposes.

ESTATE PLANNING

Estates are not business transactions. Estate planning is likely to be the most private and personal legal representation that you will ever have.

Laura gets tremendous pleasure in making sure that every family she works with is set up properly and taken care of. Every detail is covered and she stays with each client to carry out every element of their estate plan.

Over the years, Laura has perfected her step- by- step process through which she guides her clients. In this way, Laura drives forward the estate process at a manageable, comfortable pace. At each step, her clients know what their planning options are, and Laura patiently discusses the pros and cons of each. When clients sign their estate documents, they have a crystal clear understanding how the integrated parts accomplish their goals.

Laura invests time with young families to tease out which family members or close friends are best suited to serve in the critical roles of guardians and trustees for their children. She discusses contingencies involved in this careful planning, relying upon her years of experience. She creates flexible plans for young people that grow along with their families over the years.

ESTATE LAW

Wealth Preservation means different things to different people.

It can be the need to protect your wealth and business or practice from creditors.  Perhaps you also want to make sure that family assets stay in the blood-line, while still providing for distributions during spouses’ lifetimes.

To others, wealth preservation includes such asset protection but is equally focused on strategic tax planning. Such tax planning can be geared for income tax &/or estate tax.  This goal would indicate the use of certain trust structures and possibly wealth-preserving charitable planning.

Finally, others want to make certain that their family’s wealth is sustained for their children and grandchildren. This broader area of concern focuses on further wealth creation and this may be accomplished to incentivize the family’s young people to have healthy, productive lives.

We at Sherris Law Offices take the time to understand each client’s thoughts to help our clients determine their most important goals and then together we determine what type of advanced planning vehicles will meet these goals.

A few possible structures are:

  • Domestic Asset Protection Trusts – You can set up an asset protective trust that pays distributions to yourself and/or your family.

  • Irrevocable Trusts – There are many different types of trust planning that are utilized for asset protection as well as income and estate tax planning.

  • Life Insurance Trusts - Funded correctly with the proper type and amount of life insurance in the most cost efficient manner.

  • Family Foundation & Charitable Planning - As a source of community involvement as well as family income.

  • Incentive Trusts - Trust distributions can be made to incentivize beneficiaries to work, or to earn college/grad degrees, by matching trust distributions to a beneficiary's earned income.
